Terms of Service

The short version

  • JobSorted is a tool for businesses. It helps you write, send and follow up your quotes and invoices. We're not part of the deals you make with your customers.
  • We never touch your money. Your customers pay you directly. We don't hold or move anyone's money, and we can't get into your bank account.
  • You're in charge of what you send. Prices, tax, bank details, the words in your reminders and who you contact are all down to you. So are your country's invoicing rules: JobSorted isn't certified by any tax authority. Check before you send.
  • Reminders go out in your name. You can change them, pause them or switch them off. We can't promise every email arrives, or that it gets you paid.
  • Our liability is limited. We work hard to get it right, but JobSorted is provided as it is. If something goes wrong, what we're responsible for is limited, as set out in section 12.
  • It's free right now. If that changes, we'll tell you first, and you'll only pay if you choose to.

1. About these terms

These terms are an agreement between you and Navigatem Sàrl-S, which runs JobSorted ("JobSorted", "we", "us", "our"). Navigatem Sàrl-S is registered in Luxembourg with the Trade and Companies Register (RCS) under number B268646, and its registered office is at 9 an de Gaarden, L-6842 Machtum, Luxembourg.

"You" means the business that creates a JobSorted account, and anyone who uses JobSorted on its behalf. By creating an account or using JobSorted, you agree to these terms for your business, and you confirm you're allowed to do that.

"JobSorted" means our website, our web app (including the version you add to your phone's home screen), the pages your customers see when they open a quote or invoice link, and the emails we send for you.

Our Privacy Policy explains how we handle personal data. The data processing terms in section 15 are part of these terms.

2. Business use only

JobSorted is for businesses, including sole traders, using it for their trade. It isn't for personal or household use. By using JobSorted you confirm that you're acting for a business and not as a consumer, and that you're at least 18.

Because JobSorted is a business-to-business service, laws that protect consumers don't apply to these terms, as far as the law allows.

3. What JobSorted is, and what it isn't

JobSorted helps you create quotes and invoices, send them to your customers (we can email them for you, or you can share a link), record payments, and send reminders to your customers on your behalf.

We only provide the software. We are not:

  • a party to any agreement between you and your customers. The job, the price and the payment are between you and them;
  • a bank, a payment company or a money-transfer service;
  • a debt-collection agency;
  • your accountant, tax adviser or solicitor.

What JobSorted shows you, such as totals, tax, due dates and statuses like "viewed", "accepted" or "paid", is there to help you run your business. It isn't financial, tax or legal advice. "Viewed" is a best guess: some email and messaging apps open links by themselves to show a preview.

JobSorted isn't certified or approved by any tax authority, and it doesn't send your invoices to one. Its invoices are PDFs. Some countries require invoices to come from certified software, to be sent as e-invoices through an official system, or to be reported to the tax authority. If that applies to you, use software that does it for your invoices. JobSorted may point out rules we know of, but that isn't advice or a complete list.

4. Payments between you and your customers

In short: your customers pay you directly. We never handle the money, so we can't be responsible for it.

  • Your customers pay you directly, for example by bank transfer to the account details you add to JobSorted. JobSorted never receives, holds or moves money for you or your customers, and we have no access to your bank account.
  • You're responsible for making sure the bank details on your quotes and invoices are right, and for checking that a payment has actually reached your account before you mark it as paid.
  • We're not responsible for payments between you and your customers. That includes late payment, non-payment, part payment, overpayment, refunds, disputes and chargebacks. It also includes money sent to the wrong account, even where someone tricks you or your customer into using different bank details.
  • When JobSorted shows an invoice as "paid", that only means someone using your account recorded a payment. It isn't confirmation from a bank.
  • JobSorted doesn't take card payments yet. If we add them, a separate payment company will process them under its own terms.

5. Your responsibilities

In short: JobSorted does the maths, but it's a tool, not an accountant. Check everything before you send it.

You're responsible for:

  • What you send. Checking every quote, invoice and message before it goes out, including customer details, prices, quantities, tax rates and amounts, totals, deposits, due dates, your business details and your bank details.
  • Tax and invoicing rules. Making sure your quotes and invoices meet the rules that apply to you, such as what a tax invoice must show, how invoices are numbered, and whether they must come from certified software or be sent as e-invoices.
  • Your records. Keeping your own records for as long as the law requires, for example for tax. You can download a PDF of any quote or invoice at any time. JobSorted isn't designed to be your only copy.
  • Who you contact. Only adding people you have a genuine business reason to contact, making sure you're allowed to share their details with us, and telling them what the law requires about how you use their information.
  • Your account. Keeping your email and devices secure, not sharing your account, and telling us straight away at support@jobsorted.app if you think someone else has got in. You're responsible for everything done through your account.
  • The law. Following the laws that apply to your business, including data protection, consumer protection and fair debt collection.

6. Automatic reminders

  • When reminders are on, JobSorted emails your customers for you, in your business name, about quotes and invoices they haven't dealt with. Replies go to the email address in your business details.
  • Reminders are on by default for new accounts. You choose the schedule and wording, you can pause or snooze them for any customer or document, and you can switch them off completely.
  • We only send reminders on weekdays, between 9am and 5pm in your time zone.
  • Every email to your customers includes a link to stop your emails. If a customer uses it, we stop emailing them and let you know.
  • You're responsible for the content of reminders sent from your account, including our suggested wording if you use it.
  • Reminders stop once a quote is accepted or declined, or an invoice is marked as paid in JobSorted. A reminder that's already on its way at that moment may still arrive. If you change an invoice so that money is owed again, its reminders can start again.
  • We can't promise that any email will be delivered, delivered on time, or read. Emails can be delayed or blocked by spam filters, email providers or outages. We don't promise that reminders will get you paid.
  • Don't use reminders to pressure, harass or threaten anyone.

7. Acceptable use

You must not use JobSorted to:

  • break the law or anyone else's rights;
  • send spam, or send messages to people you have no business relationship with;
  • send anything misleading, abusive, threatening, hateful or defamatory, including anything that attacks people for their race, ethnicity, nationality, membership of the Traveller community, religion, sex, sexuality or disability;
  • trick anyone, for example by pretending to be someone else (such as a bank or a tax office), asking for passwords, codes or card details, or asking to be paid into an account that isn't the business's own;
  • upload viruses or other harmful code;
  • access, or try to access, another business's account or data, or test, probe or attack our security without our written permission;
  • copy, resell, rent out or reverse-engineer JobSorted, or use it to build a competing product;
  • put an unreasonable load on JobSorted, for example with automated scripts.

We check what's written and sent through JobSorted (replies, quotes, invoices, reminder wording, and business and customer names) automatically, for signs that these rules are being broken. We may read anything that's flagged to decide. If we reasonably believe these rules are being broken, we may remove content, stop messages, or suspend or close your account, straight away if needed (see section 14).

8. Your content

  • You own the information you put into JobSorted: your customers, quotes, invoices, photos, notes and messages ("your content").
  • You give us permission to store, copy, process, send and display your content only as needed to run JobSorted for you, keep it secure and back it up.
  • You're responsible for your content and for having the right to use it.
  • When we handle personal data about your customers for you, we act as your processor under section 15.
  • We may use anonymous, combined statistics, such as how many quotes are sent across JobSorted, to run and improve our service. These never identify you or your customers.

9. Price

JobSorted is free to use at the moment. We may introduce paid plans, free trials or usage limits in future. We'll tell you at least 30 days before any change that affects what you pay or what your plan includes. You'll only pay if you choose a paid plan, and any paid plan will come with its own price and payment terms, which you'll agree to at the time.

When paid plans start, these rules apply:

  • Each person gets one free trial. Signing up again, with the same email address written another way, or with a second business, doesn't start another one.
  • You pay monthly by card through Stripe, which handles your card details under its own terms. Your plan renews each month until you cancel. In Settings you can see your invoices, change your card and cancel. After you cancel, JobSorted keeps working until the end of the month you've paid for.
  • When a free trial or a plan ends, JobSorted stops emailing your customers straight away. If a card payment fails, everything keeps working for 48 hours. Either way, you have 48 hours to pay. After that your account is locked until you pay: you can still sign in to pay, and everything you've made is kept, but JobSorted sends nothing and the links your customers have don't open.

10. Availability, changes and backups

  • We work hard to keep JobSorted running and your data safe, but we provide it "as is" and "as available". It may sometimes be slow, unavailable or have bugs, including during maintenance.
  • We may change, add or remove features. If we remove something important you rely on, we'll try to give you reasonable notice.
  • We set fair-use limits, for example on storage, photos, the number of records and the number of emails each day, to keep JobSorted running well for everyone.
  • We back up JobSorted regularly, but we can't guarantee we can always restore lost data. Keep your own copies of anything important.
  • JobSorted relies on other companies, for example for hosting and sending email. We choose them carefully, but we're not responsible for their failures.

11. No other promises

We only make the promises set out in these terms. As far as the law allows, we exclude all other terms, conditions and warranties, whether written or implied by law. That includes any about quality, fitness for a particular purpose, accuracy, or JobSorted being uninterrupted or free of errors.

12. Limits on our liability

In short: we're not responsible for your business losses, your customers, or what you send, and our total liability is capped. The law doesn't let anyone exclude some things, and we don't try to.

12.1 What we don't limit

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for our gross negligence or wilful misconduct, or for anything else the law doesn't allow us to limit or exclude.

12.2 What we're not liable for

Subject to 12.1, we're not liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for:

  1. loss of profits, income, revenue, sales, business, contracts or anticipated savings;
  2. loss of goodwill or damage to reputation;
  3. loss or corruption of data, or the cost of recreating it;
  4. any indirect or consequential loss;
  5. any money your customers owe you, don't pay, pay late, or pay to the wrong account;
  6. any loss caused by something you created or sent, including a mistake in a price, tax amount, total, date or bank detail that wasn't spotted before sending, even if JobSorted worked it out;
  7. reminders or other messages that were delayed, not delivered, or delivered after a quote or invoice had been dealt with;
  8. your dealings with your customers, or any claim a customer makes against you;
  9. failures of things outside our control, such as email and internet providers or your own devices.

12.3 Our total liability

Subject to 12.1, our total liability to you for all claims arising out of or in connection with JobSorted or these terms, in any 12-month period, is limited to the greater of: (a) the total fees you paid us in the 12 months before the event that caused the claim; and (b) €100.

12.4 Why these limits are fair

You agree these limits are reasonable because JobSorted is free or low-cost, you control what you send and can check it first, and you're in the best position to protect your own business, for example with insurance.

13. Your responsibility to us

You'll compensate us (indemnify us) for any claims, losses, damages, fines and reasonable legal costs we suffer because of:

  • your content, or any message sent from your account;
  • your dealings with your customers;
  • your breach of these terms; or
  • your breach of the law, including data protection law.

We'll tell you promptly about any such claim and work with you reasonably on it.

14. Suspending or closing an account

  • You can stop using JobSorted at any time. To close your account, go to Settings, then Account, then Delete my account. If you're on a paid plan, cancel it there first. We keep your account and its data for 30 days in case you change your mind: sign back in during that time and you can restore everything. After 30 days they're deleted for good. You can also email support@jobsorted.app from the address on your account and we'll close it for you. Either way, download anything you need to keep first.
  • We may suspend or close your account, straight away if needed, if you break these terms, if your use puts us, other users or the public at risk, or if the law requires it. We'll tell you why, unless we're not allowed to.
  • On a paid plan, if payment has been missing for more than 48 hours, your account is locked until you pay, as section 9 explains. Locking doesn't delete anything.
  • We may stop offering JobSorted. If we do, we'll give you at least 30 days' notice unless that's impossible, so you can download your documents.
  • When an account closes, we delete its data as described in our Privacy Policy, except anything we need to keep by law or to deal with a dispute.
  • Sections 4, 5, 11, 12, 13 and 17, and anything else that by its nature should continue, still apply after your account closes.

15. Data processing terms

This section applies when we handle personal data on your behalf, mainly about your customers ("customer personal data"). For that data, you're the controller and we're your processor under the EU General Data Protection Regulation (GDPR) and, where it applies, the UK GDPR.

15.1 The details

  • Subject matter and duration: providing JobSorted to you, for as long as your account is open and until the data is deleted under section 14.
  • Nature and purpose: storing, organising, displaying and sending customer personal data so you can create, send and follow up quotes and invoices and record payments.
  • Types of personal data: names, email addresses, phone numbers, postal addresses, company names and tax numbers, notes you add, the content of quotes, invoices and messages, photos you upload, payment records, records of views, questions, emails and reminders, and, when a customer accepts or declines a quote, their IP address, approximate country and browser details.
  • People concerned: your customers and their contacts, and anyone named in your documents or messages.

15.2 What we'll do

  1. Process customer personal data only on your documented instructions. These terms, your settings and your use of JobSorted are your instructions. If the law requires us to do something else, we'll tell you first unless the law forbids it.
  2. Make sure anyone we allow to process customer personal data is bound by confidentiality.
  3. Take appropriate technical and organisational measures to keep it secure, as Article 32 of the GDPR requires.
  4. Only use other processors (sub-processors) under a written contract that gives equivalent protection. You give us general permission to use the sub-processors listed in our Privacy Policy. We'll tell you about changes before they take effect, by updating that list and, for significant changes, by email. If you object on reasonable grounds and we can't resolve it, you can close your account.
  5. Help you, as far as we reasonably can, to respond to people exercising their data protection rights.
  6. Help you meet your obligations on security, breach notification, data protection impact assessments and consultation with regulators, taking into account the information available to us.
  7. Tell you without undue delay after we become aware of a personal data breach affecting customer personal data.
  8. When your account closes, delete customer personal data (you can download your documents first), unless the law requires us to keep it.
  9. Make available the information you need to show that we meet Article 28 of the GDPR, and allow for and contribute to reasonable audits by you or an auditor you appoint. Audits need reasonable notice, happen no more than once a year unless there's been a breach, and are at your cost.

15.3 International transfers

If a sub-processor handles customer personal data outside the European Economic Area or the UK, we make sure appropriate safeguards are in place, such as an adequacy decision (including the EU–US Data Privacy Framework) or standard contractual clauses.

15.4 Your part

You confirm you have a lawful basis for the customer personal data you put into JobSorted and for asking us to process it, and that you'll give your customers the information the law requires.

16. Changes to these terms

We may update these terms from time to time. If a change is significant, we'll tell you by email or in JobSorted at least 30 days before it takes effect, unless we need to make it sooner for legal or security reasons. If you keep using JobSorted after a change takes effect, you accept the updated terms. If you don't agree, you can close your account.

17. General

  • Law and courts: these terms are governed by the laws of Luxembourg, and the courts of Luxembourg City have exclusive jurisdiction over any dispute.
  • Whole agreement: these terms, including section 15, are the whole agreement between us about JobSorted. You haven't relied on any statement that isn't in them. This doesn't limit liability for fraud.
  • If part is invalid: if a court finds any part of these terms invalid, the rest stays in force.
  • No waiver: if we don't enforce something straight away, we can still enforce it later.
  • Transfer: we may transfer our rights and obligations under these terms to another organisation, for example if JobSorted is sold, and we'll tell you if we do. You can't transfer your account without our written agreement.
  • Events outside our control: we're not responsible for delays or failures caused by events outside our reasonable control.
  • Third parties: nobody other than you and us has any rights under these terms.
  • Notices: we'll contact you at the email address on your account. You can contact us at support@jobsorted.app.
  • Translations: these terms are also on our website in other languages, to help you read them. If a translation says something different, the English version counts.
